Before you proceed to use our website or place an order with us, we kindly request you to carefully review this section. By placing an order with Luminary Software, you acknowledge and agree to the terms and conditions outlined below.
Web Design and Development Terms
- Agreement: Refers to the Project Proposal, Terms and Conditions, and any accompanying documents.
- Project: The scope and purpose of the Client’s requested work, as outlined in the Project Proposal.
- Services: All services and deliverables provided by Luminary Software, as described in the Project Proposal.
- Final Deliverables: The completed versions of the deliverables that have been approved by the Client.
- Deliverables: The work products and services specified in the Project Proposal, to be delivered by Luminary Software.
- Client Content: Any materials, text, images, or other creative assets provided by the Client for the development of the deliverables.
- Third-Party Materials: Proprietary assets (e.g., stock photography, illustrations) incorporated into the final deliverables.
Payment Terms:
- A 50% deposit of the total project fee is required to begin work. The remaining balance is due upon project completion.
- Payments must follow the agreed-upon breakdown, and work will not commence until the initial payment is received.
- The deposit is non-refundable if the project is terminated by the Client without fault on Luminary Software’s part.
- Costs for videos, images, web hosting, or domain registration are not included in the quoted project fees.
Client Responsibilities:
- Clients are expected to provide full support during the project, including timely submission of required information such as business details, photographs, logos, and other assets.
- Delays in providing necessary information may result in extended deadlines. Luminary Software reserves the right to adjust timelines accordingly.
- Clients are encouraged to offer feedback during the design phase. However, once the design is approved, additional changes will not be accommodated without incurring extra fees.
Feedback and Approval:
- Clients have 10 days to review the completed work and report any discrepancies or required changes. If no feedback is received within this timeframe, the project will be considered approved.
- Final invoices will be issued after the review period, with payment due within one week of receipt.
Confidentiality:
Clients are expected to maintain the confidentiality of Luminary Software’s intellectual property, pricing, and technical specifications. Sharing such information with third parties is prohibited without prior consent.
Changes to Project Scope
- Change Requests: Any changes to the project scope must be submitted in writing. Luminary Software will review the request and provide an updated proposal, including any additional costs or timeline adjustments, within two business days.
- Major Changes: If the requested changes exceed 20% of the original project scope, a new proposal will be required for approval. Work on the revised scope will only begin upon approval and receipt of additional fees.
- Minor Changes: Smaller adjustments will be billed at $100/hour in addition to the original project fee.
- Approval/Rejection: Clients have four days to approve or reject a revised proposal. If rejected, Luminary Software will proceed with the original agreement.
Website Management and Hosting
- Website Updates: Website management and updates are offered as separate paid services and are not included in hosting plans.
- Hosting and Domain Costs: Hosting and domain registration fees are not included in development fees and are billed separately.
- Uptime: We aim for 99.9% uptime for hosted websites but cannot guarantee uninterrupted service.
- Backups: Monthly backups will be performed for hosted websites.
- Access: Admin credentials will be provided for website management, but cPanel or hosting account details will not be shared.
Post-Launch Modifications
- Any modifications made by the Client or third parties after launch are not the responsibility of Luminary Software.
- If such changes cause issues, fixes or restorations will incur additional charges.
Search Engine Optimization (SEO) Terms
- Clients must not engage in practices such as creating duplicate sites, spamming, or using unethical SEO techniques that could harm rankings.
- Luminary Software cannot guarantee specific rankings due to the ever-changing algorithms of search engines.
- SEO fees are non-refundable and must be paid in advance. Delayed payments for more than two months may result in the suspension of services.
- Any changes made to the website by other parties that negatively impact rankings are not Luminary Software’s responsibility.
Communication Guidelines
Primary Communication Method:
By agreeing to these terms of service, the Client acknowledges and consents that the primary method of communication for all project-related matters with Luminary Software will be via email. Luminary Software operates with a diverse team located across multiple time zones, including but not limited to Canada, the UK, India, and Singapore. Given this geographical dispersion, email is considered the most efficient, reliable, and cost-effective way for the company to communicate with its clients.
Telephone Communication:
Notwithstanding the above, if the Client has any concerns, issues, or problems that cannot be resolved through email, the Client is entitled to contact Luminary Software’s project managers via telephone. Telephone support is available during the company’s office hours, Monday to Friday, 10:00 AM to 5:00 PM (EST). The contact number for telephone support is +1 (866) 665-2677.
Limitations on Direct Contact:
Due to geographical considerations and varying time zones, direct telephone communication with the individual team members assigned to the Client’s project may not always be feasible or practical. The Client agrees that any telephone communication will primarily be with Luminary Software’s project managers. These project managers are fully equipped to handle all project-related matters and resolve any issues that cannot be addressed via email.
Liability Limitations
- Luminary Software is not liable for damages caused by third-party actions, client modifications, or hosting-related issues.

These terms and conditions outline the foundation of our partnership with you. By working together, we aim to build a successful and lasting relationship that delivers exceptional results.
